Greenfield-Central Community Band Boosters, Inc. Constitution and By-LawsArticle I – Name and Address The name of this organization shall be Greenfield
–Central Community School Band Boosters, Inc.. The official mailing
address of this organization shall be Post Office Box 834, Greenfield,
Indiana 46140-0834. The official business address of this organization
shall be 810 North Broadway Street, Greenfield, Indiana, 46140. Article II – Objectives: The objectives of this organization shall be to provide necessary funds and assistance for the operation of all the instrumental music units (grades 6-12), and to actively promote and support all program related instrumental music activities within the Greenfield-Central Community School District. Article III – Members: Voting members of this organization shall consist
of: 1. The parents or guardians of all students participating in the
instrumental music program of the Greenfield-Central Community School
District; Non-voting members of this organization shall
consist of: 1.Alumni, alumni parents, or any individual interested in promoting music education in the Greenfield-Central Community Schools. Article IV – Officers: The officers of this organization shall be President, 1st Vice-President, 2nd Vice-President,
1st Secretary, 2nd Secretary, 1st Treasurer, and 2nd Treasurer and shall be elected at a regular meeting of this
organization in April of each year, to serve the following school year. The President of this organization shall
appoint a nominating committee by no later than the end of January. A nominating committee shall present a slate
of possible candidates. The official election shall take place at the regular April meeting of this organization.
The new officers shall be elected by majority vote of the members present at the April meeting. The new officers
elected shall assume their duties at the end of the current school year. Greenfield-Central Community Band Boosters, Inc. Constitution and By-Laws Page 2 Article V – Duties of Officers: President - duties shall be to preside over all meetings of this organization, to prepare the meeting agendas, to arrange special meetings as needed, to appoint all committee chair-persons, to be an ex-officio member of all committees, to make all committee chairpersons aware of the duties and requirements of their committees, and to preside over all official business conducted by this organization. 1st Vice-President - Duties shall be to preside over all activities relating to individual/business sponsorships and community/public relations, to assist the 2nd Vice-President as needed, to assume the duties of the 2nd Vice-President in his/her absence, to assume the duties of the President in his/her absence. 2nd Vice-President - duties shall be to serve as general chairperson in all endeavors regarding financial projects to benefit the budgets of this organization and/or student accounts. To provide individual fundraising project chairpersons with the necessary information for their project, to make sure that adequate records of each fundraising project are maintained and filed at the High School Music Office, to assist the 1st Vice-President as needed, to assume the duties of 1st Vice-President in his/her absence, and to assume the duties of the President in his/her absence and in the absence of the 1st Vice-President. 1st Secretary - duties shall be to keep a record of the proceedings of all meeting of this organization, to see that these records are properly filed within the organization and at the High School Music Office, to see that these records are published in the monthly newsletter of this organization, to see that all project records are properly filed within the organization and at the High School Music Office, to assist the 2nd Secretary as needed, and to assume the duties of the Co-Secretary in his/her absence. 2nd Secretary - duties shall be to handle all correspondence and publicity pertaining to the instrumental music programs, to promote community / public relations, to assist the 1st Secretary as needed, and to assume the duties of the 1st Secretary in his/her absence. 1st Treasurer - duties shall be to receive all revenues of this organization and make necessary disbursements; to keep accurate records of all expenditures of this organization and to deduct all expenditures from the proper approved accounts; to keep and maintain all records of the bank accounts established for the organization; to administer all student accounts, to maintain adequate records of all student accounts, to see that these records are properly filed within the organization, and to report a summary of these records at the monthly meetings of this organization; and to print a report of the financial records for each monthly meeting from the accounting software program. Transfer all records to the succeeding 1st Treasurer. To assist the 2nd Treasurer as needed, and to assume the duties of the 2nd Treasurer in his/her absence. Constitution & By-Laws Page: 3 2nd Treasurer - duties shall be to ensure money boxes are delivered to events, then picked up and their contents properly accounted for and deposited after; to verify all revenues of this organization and make deposits as needed; to monitor the collection and disbursement of funds in the student accounts, and to pursue the collection of any outstanding funds owed by students for fundraising activities or for the instrumental music program's related expenses or for the student fees; to assist and verify the student account and disbursement entries into the accounting software program, as needed; and to assume the duties of the 1st Treasurer in his/her absence. (2-8-90- amended 02-02-12) Note: In the event that there is not a candidate available for a particular office within the about officer structure, the officer elected to the closest related office position shall assume the duties of the related office (i.e. – 1st Vice-President/2nd Vice-President, 1st Secretary/ 2nd Secretary, 1st Treasurer / 2nd Treasurer). Article VI – Executive Board: The Executive Board shall be comprised of the duly elected officers of this organization and the instrument music staff employed by the Greenfield-Central Community School District. The Executive Board shall have general supervision of the affairs of their transactions and decisions. A meeting of the Executive Board and newly elected officers shall be held in April each year for the purpose of planning the annual budget of this organization and preparing the calendar of events of the coming year. Other meetings of the Executive Board shall be held as requested by either the President of this organization or a majority of the members of the Executive Board. Article VII – Meetings: Regular meetings of this organization shall be held each month. Other meetings of this organization may be held at the discretion of the President, or when requested by a Majority of the members of the Executive Board. All regular meetings shall be open to the general membership of this organization. Executive Board meetings shall be held as specified in Article VI. Article VIII – Quorum: The members present at any meeting of this
organization shall constitute a quorum. Greenfield-Central Community School Band Boosters, Inc. Constitution & By-Laws Page: 4 Article IX – Amendment: The Constitution & By-Laws of this organization may be amended by a majority of the members present at any meeting of this organization, provided that the amendments were presented to the members 10 days prior to the next regular meeting when the by-laws will be voted on. All amendment documents duly signed and executed by the officers of Executive Board shall become a permanent part of the Constitution & By-Laws of this organization. Article X – Reversion: In the event that the Greenfield- Central Community
School Band Boosters, Inc. should ever dissolve, or become insolvent,
all properties and assets of this organization would revert to the
Greenfield-Central Community School Corporation. Article XI – Annual Budget: The annual budget of this organization shall be established by the Executive Board at a meeting of its members in May of each year. The annual budget shall consist of specific line item expenditures for the normal operation of this organization and the various instrumental music programs. The dollar amounts for each specific line item shall be determined by the projected operating costs for the activities relative to the line item. The completed annual budget shall be published and copies available at a regular monthly meeting. Article XII – Budgeted Line item Expenditures: Funds established for a specific line item in the budget shall apply only to expenses relative to activities prescribed in that line item. Expenditures not relative to a specific line item in the budget shall be submitted to the officers of the organization, or to the Executive Board, for approval. Any unused funds within a specific line item in the budget shall revert to the General Fund of this organization. Article XIII – Verification of Vote: The President of this organization may poll the officers and/or members of the Executive Board, at any time, to obtain a vote, either verbally or in writing, on any issue relevant to the operation of this organization, provided that such vote is verified in the meeting minutes of the next regular meeting or Executive Board meeting. Constitution & By-Laws Page 5 Article XIV – Student Accounts: A student account may be established for each student actively participating in the instrumental music programs of the Greenfield-Central Community School District. Funds for each student’s account shall be derived from payment and/or that student’s participation in the various fundraising activities of this organization. The Executive Board shall determine the percentage of profit sharing of the various fundraising activities. The 2nd Treasurer of this organization shall administer the student accounts. The student account shall be maintained within the general checking account of this organization and shall not be used for any purpose other than the administering of the student accounts. Article XV – Disbursement of Student Account Funds: The 2nd Treasurer of this organization shall administer the disbursement of all Student Accounts. A student may utilize the available funds in his/her account for any approved instrumental music program related expenses. A student may not utilize any available funds in their account for personal expenses not related to approved instrumental music programs. A student may not receive a cash withdrawal from their account. A student may not use their account funds for the payment of expenses related to any fundraising activity. A student’s account funds may not be transferred to another student’s account except as it relates to Article XVI of this document. Any funds remaining in a student’s account, after that student graduates or is no longer actively involved with the instrumental music programs of the Greenfield-Central Community School District, shall revert to the general account of this organization, or as otherwise directed by the Executive Board. Article XVI – Transfer of Student Account Funds: Any funds remaining in a student’s account, after that student graduates or is no longer actively involved with the instrumental music programs of Greenfield-Central Community School District, may be transferred to that student’s sibling, provided that the sibling is an active participant of the instrumental music programs and is eligible for a student account. Article XVII – Student Fee Assessment Program: The overview and program guidelines of the student fee assessments specified in the Instrumental Music Department Handbook shall be considered a part of the Constitution & By-Laws of this organization.
